DEFINITIONS
“Company” refers to the telecom service provider.
“Customer” refers to the individual or organization subscribing to services.
“Services” include Internet Leased Line, MPLS, VoIP, SIP Trunk, Cloud Dialer, IVR, P2P connectivity, and related telecom solutions.
SERVICE PROVISION
The Company agrees to provide telecom services as per the agreed proposal, service order, or contract. Service availability is subject to technical feasibility and regulatory approvals.
CONTRACT PERIOD
The minimum contract period shall be as mentioned in the agreement or purchase order. Early termination may attract applicable charges.
INSTALLATION & ACTIVATION
• Installation timelines are subject to site readiness and permissions.
• Customer must provide access, power, and required infrastructure for installation.
• Any delay due to customer-side readiness may extend delivery timelines.
PAYMENT TERMS
• Payments shall be made as per agreed billing cycle (monthly/quarterly/annual).
• Installation and setup charges, if applicable, are non-refundable.
• Late payments may result in service suspension or late fees.
SERVICE LEVEL & SUPPORT
• The Company will make reasonable efforts to ensure uptime and service quality.
• Scheduled maintenance may be performed with prior notice.
• Support is available during business hours or as per SLA terms.
CUSTOMER RESPONSIBILITIES
Customer agrees to:
• Use services only for lawful purposes.
• Not misuse network resources or engage in illegal activities.
• Maintain internal network equipment and security.
FAULT REPORTING
All service issues must be reported through official support channels. The Company will address faults within the response time defined in the SLA.
SERVICE SUSPENSION
The Company reserves the right to suspend services if:
• Payment dues remain unpaid.
• Service is used for unlawful or abusive activities.
• There is a breach of contract terms.
TERMINATION
Either party may terminate the agreement with written notice as defined in the contract. Early termination charges may apply if within the minimum commitment period.
LIMITATION OF LIABILITY
The Company shall not be liable for indirect, incidental, or consequential damages, including loss of business or data due to service interruptions.
FORCE MAJEURE
The Company shall not be held responsible for delays or failures due to events beyond control, including natural disasters, government restrictions, cable cuts, or power failures.
CONFIDENTIALITY
Both parties agree to keep all business, technical, and commercial information confidential.
REGULATORY COMPLIANCE
Services shall be governed by applicable telecom regulations and laws in India. Customers must comply with all statutory requirements.
AMENDMENTS
The Company reserves the right to update these terms with prior notice. Continued use of services implies acceptance of revised terms.
GOVERNING LAW
This agreement shall be governed by the laws of India. Any disputes shall fall under the jurisdiction of the courts in the service provider’s registered location.
